 Reason is because you have an influence over the performance appraisal of your team members. As such, you have the power to provide feedback to the vice chairman which will have an impact. So if you provide a bad feedback, you penalise the team member and hence you have penalty power.

 Here I think the key point to understand is this:

Type of power should be assessed on the basis of the type of relation between employees and manager.

here if employees were referring to manager --- then it would be referent

here employees are being headed with the fear of appraisal --- hence penalty
